These Terms & Conditions govern the use of FIRST DROP SHOP, including customer purchases, digital downloads, artist/vendor participation, pre-orders, rolling releases, and other services provided through Innojative Sound.
1. ACCEPTANCE OF TERMS
By accessing, purchasing from, registering with, or otherwise using FIRST DROP SHOP, you agree to these Terms & Conditions and any additional policies referenced on the site. If you do not agree with these terms, you should not use the platform.
2. CUSTOMER ACCOUNTS
Customers may be required to create or maintain an account in order to access purchases, digital downloads, pre-orders, rolling releases, and other account-based features. Customers are responsible for keeping their login information secure and for activity conducted through their account.
3. PURCHASES & PAYMENT
All prices are displayed at the time of purchase. Customers are responsible for providing accurate billing and account information. Orders may be declined, cancelled, or reviewed when payment cannot be verified, fraud is suspected, or a transaction violates platform policies.
4. DIGITAL PRODUCTS & LICENSE OF USE
Digital music and downloadable products purchased through FIRST DROP SHOP are provided for the customer’s personal use unless otherwise stated. Purchasing a digital product does not transfer ownership of copyrights, master recordings, publishing rights, trademarks, artwork, or other intellectual property.
5. PROHIBITED SHARING & REDISTRIBUTION
Customers may not upload, resell, redistribute, publicly post, reproduce for commercial use, or otherwise distribute purchased or downloaded content without authorization from the applicable rights holder.
6. PRE-ORDERS & ROLLING RELEASES
Certain releases may be offered before their official release date. Pre-order customers may receive instant tracks, scheduled early-release tracks, or other benefits before the complete project becomes available. Release dates and schedules may be adjusted when necessary. Refund eligibility for pre-orders is governed by the Digital Refund Policy.
7. FREE DOWNLOADS
FIRST DROP SHOP may offer certain releases as free downloads. Free content remains protected by applicable copyright and intellectual-property laws and may not be commercially redistributed simply because it was provided at no cost.
8. ARTIST & VENDOR PARTICIPATION
Artist and vendor access is subject to application, review, and approval by Innojative Sound. Approval to participate in FIRST DROP SHOP does not guarantee approval of every release, product, promotion, radio submission, DJ Pool submission, or featured placement.
9. ARTIST & VENDOR CONTENT RESPONSIBILITY
Artists, labels, vendors, and authorized representatives are responsible for ensuring that they own or control the rights necessary to submit, promote, sell, preview, and distribute all music, artwork, photographs, trademarks, names, samples, beats, featured performances, and other content provided to FIRST DROP SHOP.
10. ARTIST REVENUE SHARE
Unless another written agreement applies, approved artist/vendor accounts operate under the published FIRST DROP SHOP revenue-share structure. Artists currently receive 85% of eligible net sales, while Innojative Sound retains 15%. Applicable payment-processing fees, taxes, refunds, chargebacks, reversals, and other transaction adjustments may be deducted where applicable before payout.
11. ARTIST PAYOUTS
Artist/vendor payouts are generally issued according to the current FIRST DROP SHOP payout schedule. Minimum payout balances, verification requirements, payment holds, refund adjustments, chargebacks, and other account activity may affect payout timing or amount.Since we discussed the payout model, you could make this more specific later with:Payouts are generally issued by the 15th of the following month, subject to a $25 minimum payout balance.
12. INTELLECTUAL PROPERTY
All copyrights, trademarks, artist names, logos, recordings, artwork, and other intellectual property displayed through FIRST DROP SHOP remain the property of their respective owners or authorized rights holders. Nothing on the platform grants additional rights except where expressly stated.
13. COPYRIGHT & RIGHTS COMPLAINTS
Innojative Sound may suspend or remove content that is the subject of a credible copyright, ownership, licensing, trademark, or other rights complaint while the matter is reviewed. Artists or vendors may be required to provide documentation showing ownership, licensing, authorization, or sample clearance.
14. FEATURED PLACEMENT & PROMOTION
Homepage placement, Featured Drops, promotional campaigns, radio consideration, DJ Pool placement, interviews, and other promotional opportunities are separate from standard marketplace access and are not guaranteed.
15. REFUNDS & CHARGEBACKS
Refunds for digital purchases are governed by the FIRST DROP SHOP Digital Refund Policy. Approved refunds, payment reversals, disputes, and chargebacks may affect customer access and artist/vendor earnings.
16. PROHIBITED USE OF THE PLATFORM
Users may not use FIRST DROP SHOP for fraudulent transactions, copyright infringement, unauthorized distribution, harassment, malicious activity, illegal content, false ownership claims, payment abuse, attempts to bypass access controls, or other activity that may harm the platform, its users, artists, or partners.
17. ACCOUNT SUSPENSION OR TERMINATION
Innojative Sound may suspend, restrict, or terminate customer, artist, or vendor access when these Terms are violated, fraudulent activity is suspected, payment disputes remain unresolved, intellectual-property complaints require action, or continued access creates risk to the platform or its users.
18. THIRD-PARTY SERVICES
FIRST DROP SHOP may rely on third-party services for payment processing, hosting, audio delivery, email, analytics, fulfillment, streaming, or other platform functions. Those services may be subject to their own terms, privacy policies, and availability.
19. PLATFORM AVAILABILITY
Innojative Sound does not guarantee that FIRST DROP SHOP will operate without interruption, delay, technical error, maintenance periods, third-party outages, or other service disruptions. Reasonable efforts will be made to restore affected services.
20. CHANGES TO THE PLATFORM OR TERMS
Innojative Sound may update platform features, pricing structures, policies, artist requirements, revenue-share terms for future transactions, or these Terms & Conditions when necessary. Material changes may be communicated through the site, email, or artist/vendor dashboard where appropriate.
21. LIMITATION OF LIABILITY
To the extent permitted by applicable law, Innojative Sound and its operators are not responsible for indirect, incidental, special, or consequential losses arising from the use of the platform, third-party services, unauthorized account access, or temporary service interruptions.
